Governance
BF3 is established as a company limited by guarantee. Unlike a company limited by shares, a company limited by guarantee cannot disburse profits as dividends. This means that all profits are retained in the company for the benefit of the purpose for which it was established.
However, a company limited by guarantee still issues shares. These shares are issued to the guarantors who guarantee the debts of the company up to the value of the shares issued to them. These guarantors are known as ‘members’ and they are the only people who have the authority to execute certain corporate functions, e.g. appointing Directors, winding the company up, or entering voluntary insolvency.
The ’members’ are thus different to the ‘membership’. The rights and obligations of ’members’ is set by Company Law, while the rights and obligations of the ‘membership’ is set by the BF3 Constitution.
BF3 comprises the Council (Board), the Executive, Committees, and the Membership; each playing a very important role in its direction, development and delivery.
